EXCLUSIVE MERCHANDISE CONSIGNMENT AGREEMENT
RETAIL INVENTORY CUSTODY, COMMISSION SPLIT & SETTLEMENT CONTRACT
This Consignment Agreement (the "Agreement") is entered into on this October 26, 2026, by and between:
- CONSIGNOR: Claire Sterling Design Studio - 744 Pearl St, La Jolla, CA 92037
- CONSIGNEE: Lumière Lifestyle Boutique LLC - 1202 Girard Ave, La Jolla, CA 92037
1. RETENTION OF TITLE & CUSTODY:
Title to and ownership of all consigned merchandise remains solely with the Consignor until such time as the merchandise is sold to a third-party retail customer. Consignee holds the merchandise in bailment for the sole purpose of display, marketing, and retail sale.

2. COMMISSION SPLIT & PAYMENT SETTLEMENT:
Upon the completed sale of any consigned item, the proceeds shall be apportioned as follows:

Consignor Payout: 60%
Consignee Commission: 40%
Payments shall be remitted to the Consignor: Monthly on or before the 10th day following the close of each calendar month, accompanied by an itemized sales and inventory report.

4. LOSS, DAMAGE & TERMINATION:
Consignee agrees to exercise reasonable commercial care in safeguarding consigned items and shall maintain adequate commercial property insurance against fire, water damage, and burglary. The initial consignment period shall be 90 Days (Renewable). Upon written notice by either party, unsold goods shall be returned to Consignor within 14 calendar days.
