MUTUAL (TWO-WAY) NON-DISCLOSURE AGREEMENT

OFFICIAL COMMERCIAL AGREEMENT • CONFIDENTIAL PROPRIETARY INFORMATION SHIELD
DISCLOSING PARTY: Acme Technologies Inc.
EFFECTIVE DATE: October 27, 2026
RECEIVING PARTY: Jane Doe / Independent Consultant
CONFIDENTIALITY TERM: 2 (two) years
AUTHORIZED PURPOSE: evaluating potential business collaboration, software development, and freelance services
GOVERNING JURISDICTION: State of Delaware, United States

THIS COMMERCIAL NON-DISCLOSURE AGREEMENT (the "Agreement") is formally entered into and made legally binding as of the Effective Date specified above, by and between the Disclosing Party and the Receiving Party (each individually a "Party" and collectively the "Parties").

1. Purpose: The Parties wish to explore and evaluate a prospective commercial relationship concerning evaluating potential business collaboration, software development, and freelance services (the "Purpose").

2. Definition of Confidential Information: "Confidential Information" refers to any proprietary, non-public, or sensitive information disclosed by one Party (the "Disclosing Party") to the other (the "Receiving Party"), whether orally, visually, in writing, or in machine-readable form. This includes, without limitation: software source code, system architectures, database schemas, commercial methodologies, product roadmaps, pricing models, financial statements, customer records, technical specifications, and trade secrets.

3. Exclusions from Confidentiality: Confidential Information does not include information that: (a) is or becomes publicly available through no act or omission of the Receiving Party; (b) was already rightfully in the possession of the Receiving Party prior to disclosure without confidentiality restrictions; (c) is independently developed by the Receiving Party without reference to or reliance upon the Disclosing Party's Confidential Information; or (d) is rightfully obtained from an independent third party having the lawful right to disclose such information.

4. Non-Disclosure & Standard of Care: The Receiving Party agrees to hold all Confidential Information in strict confidence and shall not disclose, publish, duplicate, reverse engineer, or disseminate such information to any third party without prior written authorization from the Disclosing Party. The Receiving Party agrees to exercise at least the same degree of care it employs to protect its own sensitive trade secrets, and in no event less than a reasonable degree of care.

5. Compelled Legal Disclosure: If the Receiving Party is legally compelled by court order, subpoena, or government authority to disclose any Confidential Information, it shall provide prompt written notice to the Disclosing Party (where legally permissible) so the Disclosing Party may seek a protective order or appropriate legal remedy.

6. Return or Destruction of Confidential Materials: Within ten (10) calendar days following written request from the Disclosing Party or termination of discussions, the Receiving Party shall promptly return or certify the irreversible digital shredding/destruction of all physical documents, electronic files, source backups, and copies containing Confidential Information.

7. Injunctive Relief & Remedies: The Receiving Party acknowledges that any unauthorized disclosure or breach of this Agreement will cause irreparable injury to the Disclosing Party for which monetary damages alone would be inadequate. Consequently, the Disclosing Party shall be entitled to seek immediate injunctive relief, specific performance, and equitable remedies in any court of competent jurisdiction without the requirement of posting a bond.

8. Term & Survival: The obligations of confidentiality under this Agreement shall remain in full force and effect for a period of 2 (two) years from the Effective Date; provided, however, that trade secrets shall remain protected for as long as permitted under applicable statutory trade secret laws.

9. Severability & Entire Agreement: If any provision of this Agreement is deemed invalid, illegal, or unenforceable by an arbitrator or court of competent jurisdiction, such invalidity shall not affect the remaining provisions, which shall continue in full force and effect. This Agreement constitutes the complete and exclusive understanding between the Parties regarding its subject matter and supersedes all prior verbal or written understandings.

10. Governing Law & Dispute Jurisdiction: This Agreement shall be construed, interpreted, and governed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles. Any legal suit, action, or proceeding arising out of this Agreement shall be instituted exclusively in the competent courts located within the designated jurisdiction.
