UNSECURED PROMISSORY NOTE

FOR VALUE RECEIVED, the undersigned Marcus Aurelius Vance, residing at 1844 Lexington Ave, Apt 5A, New York, NY 10029 ("Borrower"), unconditionally promises to pay to the order of Apex Capital Partners LLC, located at 100 Wall Street, 18th Floor, New York, NY 10005 ("Lender"), the principal sum of $25,000.00, together with interest on the unpaid principal balance from the date hereof at the rate of 7.50% per annum.
1. Payment Terms
Payments under this Note shall be made in Monthly Installments comprising principal and accrued interest, commencing one month from execution and continuing on the same day of each subsequent month until the Maturity Date of October 26, 2027, at which time all remaining unpaid principal and interest shall be paid in full.
2. Security & Collateral
This Note is secured by a first-priority lien on the following personal property of Borrower: 2023 Tesla Model Y Long Range. Upon any uncured event of default, Lender shall possess all rights of a secured creditor under the Uniform Commercial Code (UCC).
3. Prepayment
Borrower reserves the right to prepay this Note, in whole or in part, at any time prior to maturity without penalty, premium, or fee.
4. Default & Acceleration
If Borrower fails to make any payment when due and such default continues unrectified for a period of 15 Calendar Days, or if a late fee of $50.00 is not settled, Lender may, at its sole discretion, declare the entire unpaid principal balance and all accrued interest immediately due and payable in full without further notice.
5. Governing Law
This Note shall be construed, interpreted, and governed under the laws of the State of Delaware.
